Cambior Acquires Ariane Gold

Cambior Inc. acquired Ariane Gold Corp., an exploration company whose main asset is an advanced-stage gold development project in French Guiana, South America. The deal closed on November 29, 2003. The acquisition was made by way of a share exchange, using the procedure of a statutory triangular amalgamation, having a value of approximately $70 million based on the value of Cambior shares on the closing date.

Cambior was represented in-house by Marc Dagenais, vice-president, legal, and assistant corporate secretary; and by McCarthy Tétrault LLP, with a team that included Benjamin Silver, George Maziotis and Juliette D’Hollander. Ariane Gold was represented in-house by Carole Plante, corporate secretary; and by Stikeman Elliott LLP, with a team that included Jay Kellerman, Raymond McDougall and Tanya Padberg (corporate/securities) and Dean Kraus and Trevor McGowan (tax).
