EnCana Holdings Completes US$1B Financing

On May 13, 2004, EnCana Holdings Finance Corp., an indirect wholly owned subsidiary of EnCana Corp., completed a public offering of US$1 billion of 5.80 per cent notes due May 1, 2014, guaranteed by EnCana Corp. The offering was made in the US under a previously filed shelf registration statement for up to US$2 billion of debt securities. Deutsche Bank Securities and Morgan Stanley acted as joint book-running and lead managers for the offering.

EnCana Holdings Finance Corp. and EnCana Corp. were represented in-house by David Sheridan and Jeff Paulson; assisted by Macleod Dixon in Calgary, with a team that included Kevin Johnson, Don Tse, Harvey Steblyk and Tara Shaw; and by Paul, Weiss, Rifkind, Wharton & Garrison in New York, with a team that included Andrew Foley, Sheila Gibb and David Chorney.
