Endeavour Mining completes La Mancha transaction

On November 27, 2015, Endeavour Mining Corporation (Endeavour) completed a transaction with La Mancha Holding S.àr.l. (La Mancha), a privately-held gold investment company held by the Sawiris family group.

As part of the transaction, La Mancha contributed US$63M in cash, the Ity mine in Cote d’Ivoire and certain other assets to Endeavour. Endeavour issued to La Mancha common shares of Endeavour representing 30 per cent of Endeavour’s outstanding share capital (with a market value of approximately $78 million as at the closing date).

Endeavour was represented in Canada by Stikeman Elliott LLP with a team including Neville McClure, Alice Davidson, David Massé, Léa Bénitah-Bouchard and Charlotte Verdebout (corporate and securities).

Endeavour was also represented in the Cayman Islands by Walkers with a team which included Ramesh Maharaj and Christophe Kalinauckas.

Endeavour was represented in-house by Morgan Carroll, Executive VP Corporate Finance & General Counsel, and Elizabeth Thampy, Legal Counsel.

La Mancha was represented in Canada by Norton Rose Fulbright with a team led by Paul Raymond which included Steve Malas, Emmanuel Grondin and Laurence Farmer (corporate, securities and mining) and in relation to certain European and African matters by a team led by Poupak Bahamin which included Antoine Thibaud, James Renard and Paul Messié (corporate and mining).

La Mancha was also represented in the Cayman Islands by Maples and Calder with a team led by Michael Johns.
