FTQ, Capital régional et coopératif Desjardins and Fondaction CSN acquire Atis Group

On February 20, 2015, Fonds de solidarité des travailleurs du Québec (FTQ), Capital régional et coopératif Desjardins and Fondaction CSN jointly acquired Atis Group Inc. from Ohio-based private equity fund Cyprium Partners for cash consideration of $80 million and the assumption of approximately $60 million in debt. Operating out of nine manufacturing facilities in Canada and employing over 1,400 people, Atis manufactures and distributes windows and doors, selling its products via nine different brands, including Laflamme and Solarcan.

Fonds de solidarité des travailleurs du Québec  (FTQ) and Capital régional et coopératif Desjardins were represented internally by Jodi Lackman and Renaud Lebuis, respectively, and the consortium of purchasers was represented by Borden Ladner Gervais LLP with a core team led by André Dufour and Neil Hazan comprising Ryan Tomicic, Mélissa Azuelos and Calvin Leung (corporate), Line Abecassis (real estate), Shawn Connelly (employment), Marie-Claude Bellemare and Maxime Lemoyne (environment), Vincent Frenette, Christian Lazarre, Joëlle Girard and Kenza Bensaid (financing) as well as Jon Smithen (competition). Fondaction CSN was supported throughout the transaction by Antoine Tremblay of Morency Avocats. David Feindel, Ben Pryde and Adel Gonczi of McInnes Cooper also advised the consortium with respect to Nova Scotia and New Brunswick matters.

Cyprium Partners was represented by John Allotta and Anne Foster Bachmann of Baker Hostetler and Atis was represented by a Davis LLP team comprising Marc Philibert, Hubert Sibre, Félix Touzin, Melissa Gaul, David Crocker and Kevin Wright. Charles Reagh of Stewart McKelvey also advised Atis with respect to Nova Scotia matters.
