Gerling Canada Insurance is Acquired

On June 30, 2003, a group of private equity investors, Torquest Partners Inc., CIBC Capital Partners and Newport Partners Inc. acquired through their acquisition vehicle, GCAN Holdings, Inc., Gerling Canada Insurance Company from Gerling NAFTA General Holding, Inc., a subsidiary of Gerling-Konzern Allgemeine Versicherungs AG in Cologne, Germany. Senior management of Gerling Canada Insurance Company also invested in GCAN Holdings. The value of the deal is undisclosed.

GCAN Holdings and the private equity investors, were represented by Stikeman Elliott LLP with a team led by Rod Barrett, and including Stuart Carruthers, Samantha Horn, Dee Rajpal, Daniel Thomson, Jason Wilson and Timothy Chubb (corporate), Shawn Neylan and Debbie Salzberger (competition), John Lorito (tax), Julie Thibault (employment), Gary Nachshen (pensions) and Dana Porter (real estate). CIBC Capital Partners was also represented by in-house counsel Shawn Beber.

Gerling NAFTA General Holding and Gerling-Konzern Allgemeine Versicherungs were represented by Frank Shostack of Black Sutherland LLP in Toronto. Canadian Imperial Bank of Commerce, senior lender to GCAN Holdings, was represented by Gowling Lafleur Henderson LLP with a team led by Harold Chataway, and including Thomas Subic, John Myers and Susan Clarke. Senior management of Gerling Canada Insurance Company in connection with their investment in GCAN Holdings, was represented by Peter Smith and David Savarie of Miller Thomson LLP.
