On February 4, 2026, Kii Health completed the sale of its Canadian mental health services segment to GreenShield, Canada’s only national non-profit health care and insurance organization. The divested business comprises Kii Health’s Employee and Family Assistance Program (EFAP), Student Assistance Program (SAP), CBT Associates, and Therapist-Assisted Internet-Delivered Cognitive Behavioural Therapy (TAiCBT) services, including the MindBeacon digital therapy platform. The transaction was structured as an asset purchase rather than a share purchase, and the financial terms were not disclosed.
The acquisition strengthens GreenShield Health’s mental health capabilities and expands its footprint nationwide, with notable growth in Western Canada and Quebec, and adds approximately 700 clinicians to GreenShield’s clinical network. GreenShield intends to integrate the acquired services into GreenShield+, its digital health and benefits platform, to streamline navigation across benefits, therapy, and support services and to improve continuity of care for members and clients. As a non-profit that reinvests its excess earnings, GreenShield has identified youth mental health as a priority, and the addition of Kii Health’s Student Assistance Program is expected to deepen its Youth Mental Health Ecosystem across post-secondary campuses.
