MG Dividend & Income Fund Completes IPO

On February 15, 2006, MG Dividend & Income Fund, a closed-end investment trust, completed a $120 million initial public offering of units, which were listed on the Toronto Stock Exchange at closing. The trust is designed to provide investors with stable monthly distributions and the potential for capital appreciation by investing in an actively managed, broadly diversified portfolio. The initial portfolio is comprised primarily of income trust securities, with an emphasis on the securities of high quality large capitalization oil and gas royalty trust, business trust and real estate investment trust issuers, supplemented by the common shares of issuers which exhibit strong fundamentals and the potential for an appreciation in dividend payments.

The trust's portfolio is co-advised by Guardian Capital LP and Middlefield Capital Corporation.

The syndicate was led by CIBC World Markets Inc. and RBC Capital Markets and included BMO Nesbitt Burns Inc., Scotia Capital Inc., TD Securities Inc., National Bank Financial Inc., HSBC Securities (Canada) Inc., Canaccord Capital Corporation.
