Miranda Technologies Acquires NVISION

On December 22, 2008, Miranda Technologies Inc. completed the acquisition of all the shares of NVISION Inc., based in Grass Valley, California. The all-cash transaction, which was originally announced on December 10, 2008, was concluded for a price of approximately US$40 million. Miranda Technologies Inc. is a global developer, manufacturer and marketer of high-performance hardware and software for the television broadcast industry. NVISION is a leader in routing systems for the broadcast industry.

Gowling Lafleur Henderson LLP oversaw the due diligence process, negotiations, drafting and completion of the legal documentation on behalf of Miranda. The Gowlings team was organized and led by Richard J. Roy in Montréal and included Simon Labrecque, Giovanna Spataro (IP) and Étienne Tremblay. Also acting for Miranda and assisting Gowlings in the US aspect of the transaction was a team from the California law firm Perkins Coie LLP led by Lior Zorea and assisted by Teresa Poulsen and Jeffrey Hunter (environment).

NVISION Inc. was represented by the Nevada law firm of Holland & Hart LLP. The Holland & Hart team was led by Bob Henderson and assisted by Benjamin Hadary and Berna Rhodes-Ford.
