Morgan Stanley Completes $2.5B Bond Offering

On February 23, 2007, Morgan Stanley completed the offering of $2.5 billion of fixed and floating rate notes. Pursuant to the offering, $1.25 billion of 4.50 per cent notes due 2012, $900 million 4.90 fixed rate notes due 2017 and $350 million floating rate notes were sold. The offering constituted the largest corporate bond offering in Canadian financial markets history.

The offering was completed by a syndicate of dealers led by RBC Capital Markets and Scotia Capital and including BMO Capital Markets, Morgan Stanley & Co. Inc. and TD Securities. Morgan Stanley was represented by Davis Polk & Wardwell with a team that included Christopher Schell, Jae Kim and Warren Motley (corporate) and Po Sit and Alan Lewis (tax). The dealers were represented by Stikeman Elliott LLP with a team that included D'Arcy Nordick and Mairi MacGillivray.
