RONA Revy Acquires Curtis Lumber

On July 24, 2006, RONA Revy Inc., a wholly owned subsidiary of RONA inc., acquired substantially all of the operating assets of Curtis Lumber Co. Ltd., Curtis Lumber (Sunshine Coast) Ltd. and Curtis Truss Ltd., which acquisition had been previously announced on April 25, 2006. The purchase price was not disclosed by the parties. RONA is the largest Canadian distributor and retailer of hardware, home renovation and gardening products. Curtis Lumber is a leading supplier of building materials, home improvement and hardware products in British Columbia. Curtis Lumber posted sales of approximately $80 million in 2005.
RONA was advised by France Charlebois, its corporate secretary and general counsel, and Madeleine Tran, its legal counsel, and by Ogilvy Renault LLP with a team that consisted of Eric Stevens and Patrick M. Shea (M&A), Miguel Manzano (real estate) and Thierry Dorval (competition), all of whom are in Montreal.
Curtis Lumber was advised by Bradley T. Hara of Hara & Company in Vancouver. In connection with local British Columbia law matters, RONA was advised by Warren G. Brazier of Clark Wilson LLP in Vancouver.
