Roper Industries Acquires Lumenera

On July 25, 2006, Roper Industries, Inc. of Duluth, Georgia, acquired all of the issued and outstanding shares of Lumenera Corporation, an Ottawa-based company that was majority owned by its senior executives. The amount of the transaction is undisclosed.
Roper Industries provides engineered products and solutions to customers in more than 100 countries for global niche markets, including water, energy, radio frequency and research/medical applications. It has annual revenues of $1.5 billion and is a component of the S&P MidCap 400 and the Russell 1000 Indexes.
Lumenera is a leading developer and manufacturer of high-performance digital cameras and custom imaging solutions, which are used worldwide in a diverse range of industrial, scientific and security applications.
In connection with the acquisition, Roper Industries was represented by David Liner, vice-president, general counsel and secretary and by Stikeman Elliott LLP, with a team that included John Leopold, Howard Rosenoff, An Nguyen and Laura Bradshaw (corporate); Luc Bernier and Antoine Stébenne (tax); Bruce Pollock (employment) and Kim Alexander-Cook (competition).
Lumenera's shareholders were represented by LaBarge Weinstein Professional Corporation, with a team that included Paul LaBarge, Justin Young, Colin Wrynn, Dineen Beath and Estelle Duez (tax).
