Shaw Communications Issues Senior Notes Offering

Shaw Communications Inc. issued $300 million principal amount of its 6.15 per cent senior notes due in May 2016. The offering, which closed on May 9, 2006, was made in both Canada and the US pursuant to the Canada/US multi-jurisdictional disclosure system. The offering was co-led by TD Securities Inc. and RBC Dominion Securities Inc. The rest of the syndicate included CIBC World Markets Inc., Scotia Capital Inc., National Bank Financial Inc., Merrill Lynch Canada Inc. and GMP Securities L.P.
The Shaw offering had a large retail component and Shaw offerings continue to be unique in that a large portion of the issues have been placed in the US institutional market even though the notes are denominated in Canadian dollars.
Shaw's legal team was directed by Steve Wilson, senior vice-president and CFO, and David Taniguchi, senior counsel and assistant corporate secretary.
