On June 27, 2008, ShawCor Ltd. completed its previously announced acquisition of Flexpipe Systems Inc. for total consideration of approximately $130 million. Flexpipe is based in Calgary and manufactures spoolable, composite line pipe, which is marketed primarily to oil and gas producers in Canada and the United States.
The transaction was effected by means of a court-approved plan of arrangement in Alberta following the approval by 100 per cent of Flexpipe's security holders represented at a special meeting held on June 26, 2008. Shareholders of Flexpipe received a cash payment of $7.75 per Flexpipe share.
