TD North America Issues Notes

On October 9, 2003, the Toronto-Dominion Bank’s indirect, wholly owned subsidiary, TD North America LP, issued US$2.3 billion floating rate notes due on October 15, 2008. The notes were guaranteed by the Toronto-Dominion Bank, and were sold to institutional investors in Europe and elsewhere.

TD North America and TD Bank’s legal team were led by Peter Aust, vice-president, capital finance; Michael Sheehan, manager, corporate finance; and Al Wheable, vice-president, tax, TD Bank; in Canada by McCarthy Tétrault LLP, with a team that included Phil Moore and Peter Goode (corporate) and Jerald Wortsman (tax); and in the US by Simpson Thatcher & Bartlett LLP in New York, with a team that included Lee Meyerson, Jessica Gross, Cariad Farber and Andrea Watson (corporate) and John Creed and Paige Melendres (tax).
