Weatherford Acquires Alpine

On August 10, 2000, Weatherford International, Inc. (Weatherford) of Houston, Texas completed its acquisition of Alpine Oil Services Corporation (Alpine) of Calgary pursuant to a plan of arrangement involving exchangeable shares. Alpine’s shareholders received shares of Weatherford Oil Services, Inc. (Services) exchangeable for common stock of Weatherford valued at approximately US$55 million.

Weatherford is one of the largest global providers of technology and services to the drilling and production sectors of the oil and gas industry. The acquisition of Alpine extends Weatherford’s underbalanced drilling capabilities.

The Weatherford team consisted of Burt Martin (Weatherford’s Vice President – Law) in Houston, Hank Still, Susan Stone and Joe Henry of Fulbright & Jaworski LLP in Houston as US counsel, and Rich Miller, Robert Roth, Jehad Haymour, Tom Mayson Jr., Colleen Cebuliak and Bob Zechel of Fraser Milner Casgrain in Edmonton and Calgary as Canadian counsel. Rick Skeith and Harold Jacques of Macleod Dixon in Calgary acted for Alpine.
