David is Global co-Chair of the firm’s Mining Law Group and plays a leading role in the Securities & Corporate Finance Group. David practises in the areas of securities law, corporate finance, mergers & acquisitions, mining law and related corporate and commercial transactions, including initial and secondary public offerings, bought deals, divestitures and all manner of business combinations. David’s client base includes major and junior mining companies, non-resource based companies, financial institutions, national and local underwriters, as well as public companies listed on the various stock exchanges in Canada and the US. David is a recognized leader in the Canadian Mining Bar and has advised mining clients on sophisticated Canadian and international mining transactions of all types, including options, joint ventures, royalties, mine financing, reclamation and mine closures for properties in North and South America, Eastern Europe, Africa, Australia, China, Mongolia and Southeast Asia.
Western Forest Products Inc. (Western) and Brookfield Special Situations Management Limited (Brookfield), a wholly owned subsidiary of Brookfield Asset Management, closed a $230 million bought deal secondary offering. The common shares were offered by way of a short form prospectus filed in all of the provinces of Canada pursuant to National Instrument 44-101 - Short Form Prospectus Distributions and in the United States pursuant to an exemption from the registration requirements of the United States Securities Act of 1933, as amended (the U.S. Securities Act).
