Rosalind Cooper is one of the leading and most widely-recognized environmental lawyers in Canada. She defends environmental charges, and litigates contaminated land and other environmental disputes before all levels of court. Rosalind is also involved in appeals and environmental assessment proceedings before the Environmental Review Tribunal and provides regulatory advice in all areas of environmental law. She is also a recognized environmental mediator and certified by the Law Society as an expert in environmental law. Litigating environmental disputes including contaminated land disputes, defending environmental charges, and appealing orders and approvals to the Environmental Review Tribunal, Rosalind brings her knowledge of environmental law to bear in achieving results. Effectively advising on environmental issues including regulatory advice, exposure to environmental liability, contaminated lands, land development, and environmental compliance approvals, Rosalind is also a highly sought arbitrator and mediator for environmental disputes. On September 28, 2018, Windsor-Detroit Bridge Authority, a Crown corporation of the Government of Canada, reached financial close with Bridging North America General Partnership (a partnership indirectly held by ACS Infrastructure Canada Inc., Fluor Canada Ltd. and Aecon Concessions, a division of Aecon Construction Group Inc.) for the design, construction, financing, operations, maintenance and rehabilitation of the Gordie Howe International Bridge Project, a new publicly-owned international bridge crossing between Windsor, Ont., and Detroit, Michigan.
On July 30, 2018, BWX Technologies, Inc. (NYSE:BWXT) (BWXT), a leading supplier of nuclear components and services, completed the acquisition of the medical isotope business of Nordion (Canada) Inc. (Nordion) from private-equity owned Sotera Health LLC (Sotera Health).
On October 2, 2015, Stella-Jones Inc. announced that it had completed the acquisition of the shares of Ram Forest Group Inc. and Ramfor Lumber Inc.
On November 3, 2015, G. Cooper Equipment Rentals Limited (Cooper Equipment) completed its previously announced acquisition of SMS Rents, a major Canadian construction equipment rental business. G.C. Andersen Partners, LLC, a New York-based investment bank, acted as exclusive financial advisor to Cooper Equipment and arranged an $80 million senior credit facility to complete the acquisition through its wholly owned broker-dealer, G.C. Andersen Partners Capital, LLC.
On May 20, 2015, Vicwest Inc. (Vicwest), Kingspan Group Limited (Kingspan) and AG Growth International Inc. (AG Growth) completed a plan of arrangement whereby Kingspan (through its subsidiary) acquired all of the issued and outstanding common shares of Vicwest and AG Growth (through subsidiary) acquired substantially all of the assets of Vicwest’s Westeel division. Pursuant to the terms of the plan of arrangement, each holder of common shares received $12.70 for each common share held. The transaction was valued approximately $360 million.
Arthur J. Gallagher Canada Limited, a subsidiary of Arthur J. Gallagher & Co. (AJG), completed its acquisition of Noraxis Capital Corporation from Roins Financial Services Limited, which also owns the RSA Canada group of companies (RSA). The aggregate purchase price for the business, including minority interests and subject to adjustment, was approximately $500 million. Noraxis management shareholders continue to hold approximately 11 per cent of the business.
