Stephen Brown-Okruhlik is an experienced commercial litigator focused on M&A disputes and corporate stakeholder litigation. He provides strategic counsel to businesses, investment funds, shareholders, banks and other stakeholders in high-stakes matters. Stephen is a trusted advisor on issues involving capital structure and regularly guides clients through contentious corporate transactions and financing disputes. Stephen has deep experience with M&A disputes, oppression matters, corporate fraud, creditors’ remedies, lender liability, complex debt instruments, contested transactions, securities class actions and international arbitration. He represents founders and investors in "bet-the-company" litigation, as well as Canadian and foreign banks in complex financing and insolvency matters. Active in the commercial litigation and insolvency bar, Stephen serves as Co-Chair of the ABA’s M&A Litigation Subcommittee and is a former executive member of the OBA’s Insolvency Section. He frequently writes and speaks to Canadian and international audiences on topics including busted-deal disputes and creditor-violence trends.
