Banking Facilities Underwritten Concurrent with Yellow Pages Offering

Concurrent with the Yellow Pages Income Fund $1 billion public issuance of trust units on August 1, 2003, major banking facilities were also underwritten. The offering was supported by a major syndicated credit facility for YPG Holdings Inc. totalling $1.3 billion, for which the co-lead arrangers were Royal Bank of Canada, CIBC and The Bank of Nova Scotia, and the co-arrangers were Bank of Montreal, TD Bank and National Bank of Canada.

The Yellow Pages Group legal team was directed by François Ramsay, vice-president, general counsel and secretary; assisted in Canada by Torys LLP in Toronto, with a team that included Edwin Nordholm, Janie Tremblay and Conrad Sheppard, and Jean Lamothe of Stikeman Elliott LLP in Montreal; and in the U.S. by James Cross and Darins Mehraban of Simpson Thacher & Bartlett LLP in New York.

The co-lead arrangers were represented by Fasken Martineau DuMoulin LLP, with a team that included Brian Wright and Tom Meagher in Toronto and Claude Gendron, Marc Novello and Martin Racicot in Montreal.
