FUN Technologies Inc. Completes Plan of Arrangement Involving Liberty Media Corporation

On December 21, 2007, FUN Technologies Inc. (“Fun”) completed a Plan of Arrangement under the Canada Business Corporations Act pursuant to which Liberty Media Corporation indirectly acquired all of the outstanding common shares of FUN. FUN is one of the world's leading providers of online and interactive casual and fantasy sports games and sports information. The purchase price for the acquisition was approximately $223 million, which Liberty paid in cash.

FUN was represented by Goodmans LLP with a team led by Avi Greenspoon and included Caroline Cook and Karen Karvat (corporate/securities), Tom Friedland and Lauren Butti (litigation) and Maureen Berry (tax). The Special Committee of FUN's board of directors was represented by McCarthy Tétrault LLP with a team led by Blair Cowper-Smith and Robert Hansen and including Leslie Milroy.
