Gaz Métro Plus and Dalkia Form Joint Venture

On February 14, 2006, Gaz Métro Plus Limited Partnership, a wholly-owned subsidiary of Gaz Métro Limited Partnership, and Dalkia Canada Inc., a wholly-owned subsidiary of the French corporation Dalkia International, formed a new 50/50 joint venture under the name of CDH Solutions & Operations. The joint venture will oversee the expansion of Climatisation et chauffage urbains de Montréal, as well as promote the acquisition or development of district heating and cooling plants in major cities in Canada. All amounts of the transaction are undisclosed.

Gaz Métro and Gaz Métro Plus were represented by Osler, Hoskin & Harcourt LLP with a team that included Christiane Jodoin and Jean Setlakwe (corporate), Etienne Massicotte (banking), Elaine Marchand (tax), Radha Curpen (environment) and Josée Thibodeau (intellectual property).

Dalkia was represented by Stikeman Elliott LLP with a team led by Alain Massicotte (corporate) that included Erik Richer La Flèche and Maxime Turcotte (corporate), Jean Carrier and Myriam Fortin (environment), Michèle Baillargeon (real estate), Michel Legendre (pension) and Diane Lemelin (head of due diligence team).
