Geosign Completes Private Financing

On March 5, 2007, Geosign Group Holdings Inc. of Guelph, Ontario and Geosign Technologies Inc. of Barbados completed a US$160 million private financing from American Capital Strategies, Ltd. Geosign is one of the top 50 online publishers with over 180 websites in 20 categories, whose expertise in developing consumer websites and search marketing attracts over 35 million unique visitors to its network of sites on a monthly basis. Proceeds from the financing will be used for working capital, strategic growth initiatives and shareholder liquidity.

American Capital, the second largest US publicly-traded alternative asset manager with approximately $11 billion in assets under management, is an investor in management and employee buyouts, private equity buyouts, and early stage and mature private and public companies.

RBC Capital Markets acted as the exclusive private placement agent for Geosign on this transaction.
