Markus's practice is focused on international and Canadian domestic merger & acquisition transactions. He acts for offerors and targets on negotiated and unsolicited acquisitions, as well as purchasers and vendors in connection with asset and share purchase transactions. He advises on a wide range of securities compliance and general corporate and commercial matters and regularly acts on transactions involving participants in the mining, other natural resources, and numerous other industry sectors. He has an active capital markets practice, acting for issuers, investors and dealers, with a particular emphasis on private investments in public equities (PIPEs), cross-border offerings and structured finance. In addition, he acts for issuers in connection with their listings on the Toronto Stock Exchange.
On May 20, 2015, BCE Inc. (BCE) and Rogers Communications Inc. (Rogers) completed their acquisition of GLENTEL Inc. (GLENTEL), a Canadian-based multi-carrier mobile products distributor.
Element Financial Corporation acquired the assets and operations of PHH Arval, PHH Corporation's North American fleet management services business, for a purchase price of US$1.4 billion in cash. Element also assumed PHH's obligations under the PHH fleet securitization programs in the US and Canada.
