Royal & SunAlliance Acquires Canadian Northern Shield Insurance Company

On December 31, 2007, Royal & SunAlliance Canada Group acquired Canadian Northern Shield Insurance Company from The CUMIS Group Limited for approximately $75,000,000 payable in cash. CNS is a leading property and casualty insurer in British Columbia, with strong positions in property, liability and private auto insurance. This acquisition results in R&SA being the market leader in general insurance in British Columbia and the sixth largest general insurer in Canada.

CUMIS was represented by Craig Marshall, its Vice President, General Counsel and Corporate Secretary, and Wayne Schatz, its Vice President and Deputy General Counsel, who were assisted by Blake, Cassels & Graydon LLP with a team including Rob Collins, Cheryl Satin, Elizabeth Sale, Erin Pelletier and Toby Scott (corporate/M&A), Paul Belanger (regulatory), Mark Hayes (information technology), Caroline Helbronner (pensions) and Randy Kaardal (labour).
