Ovintiv Inc. has agreed to acquire Logan Energy Corp. in an all-cash transaction that values the Calgary-based Montney oil producer at approximately $1.26 billion (US$890 million), including assumed net debt. The acquisition, to be carried out through Ovintiv’s wholly owned subsidiary Ovintiv Canada ULC, deepens the Denver-based producer’s position in the oil-rich window of the Montney formation straddling Alberta and British Columbia.
Under the arrangement agreement, Ovintiv Canada will pay $1.40 in cash for each Logan share. Concurrently, Logan will spin out a newly formed subsidiary, Logan Oil Corp., to its shareholders, who will receive 0.0817 of a Logan Oil share and 0.05 of a Logan Oil share purchase warrant for each Logan share held. Together with the cash, the package carries total consideration of approximately $1.48 per Logan share, which Logan says represents a premium of approximately 17 percent to the 20-day volume-weighted average price of its shares to October 23, 2026, and approximately 35 percent to their closing price on August 14, 2026, the date Logan’s board initiated its strategic review.
The transaction is expected to add approximately 266,000 net acres and roughly 20,000 barrels of oil equivalent per day of production in the Montney, along with about 420 net drilling locations in the Simonette and Pouce Coupe areas. Ovintiv expects its core Montney land position to grow to approximately 720,000 net acres and projects annual cost synergies of approximately US$60 million, with the deal immediately accretive to cash flow per share by about 5 percent in 2027. Also included are two new oil batteries in Simonette and interests in two natural gas processing facilities, which Ovintiv expects to strengthen its Montney margins and support future oil growth.
Logan was formed in July 2023 through the spin-out of the early-stage Montney assets of Spartan Delta Corp. It has grown production from approximately 4,500 barrels of oil equivalent per day at founding to a corporate record of 18,775 barrels of oil equivalent per day in the third quarter of 2026, while expanding its Montney land base over the same period.
Through the concurrent spin-out, Logan shareholders will retain exposure to a separate growth vehicle. Logan Oil Corp. will be a growth-oriented company focused on Alberta heavy oil, including greenfield steam-assisted gravity drainage development. Its founding asset base is anchored by the Sawn Lake SAGD project in the Peace River region, to be acquired through Logan Oil’s purchase of Andora Energy Corporation, and Clearwater oil assets in the Nipisi area, to be acquired from Woodcote Inc. Logan Oil will be led by Brendan Paton as president and chief executive officer, with Richard McHardy as executive chair, and has applied to list on the TSX Venture Exchange.
“This bolt-on transaction delivers value for our shareholders by adding high margin oil and condensate production and infrastructure, utilizing our operational advantage to drive significant synergies, and adding to our already deep drilling inventory and future growth optionality,” Ovintiv president and CEO Brendan McCracken said in a press release. “The Logan assets have demonstrated leading oil productivity performance and will immediately compete for capital alongside the rest of our portfolio.”
“We are incredibly proud of what the Logan team has accomplished in just over three years,” said Richard McHardy, CEO, and Brendan Paton, president and COO of Logan, in a joint statement thanking the company’s employees and shareholders for their support.
The arrangement, to be completed under the Business Corporations Act (Alberta), has been unanimously approved by the boards of both companies and requires approval by at least two-thirds of the votes cast by Logan securityholders at a special meeting expected to be held on or about January 4, 2027. Logan’s directors and officers, who hold or control approximately 16.6 percent of its shares, have agreed to vote in favour. Closing, which also requires approval of the Court of King’s Bench of Alberta and clearance under the Competition Act (Canada), along with other customary conditions, is expected early in the first quarter of 2027.
