Andrea FitzGerald is a partner in the Business Law Group at Cassels. Andrea specializes in securities law and acts as lead counsel for companies involved in initial public offerings, mergers, acquisitions, special purpose acquisition company (SPAC) transactions, takeover bids, going-private transactions, spin-off transactions, corporate reorganizations, corporate finance, and corporate governance matters. In addition, she acts as counsel for several investment dealers on both corporate finance and mergers & acquisitions transactions. Andrea’s practice is international in scope, and she has extensive experience as a trusted advisor on complex domestic and international cross-border transactions spanning several sectors, including mining, cannabis, technology, agriculture, online gaming, cryptocurrency, and biopharmaceutical. In addition to her transactional practice, Andrea regularly advises clients on ongoing securities regulatory compliance matters. Andrea also has experience advising boards of directors and special committees on corporate governance and securities law compliance. She was called to the Bar in Ontario in 2000.

(Amaya) for an initial purchase price consisting of $110 million in cash, subject to customary working capital adjustments, and the issuance to Amaya of $40 million exchangeable preferred shares of NYX Digital. NYX also entered into a preferred supplier licensing agreement with a subsidiary of Amaya to provide certain casino gaming content to Amaya’s real-money casino offering, which will be integrated into the PokerStars and Full Tilt branded casino websites.
