Holcim and Lafarge merge to create LafargeHolcim

On July 10, 2015, Holcim Ltd and Lafarge S.A. completed their global merger and launched LafargeHolcim, a world leader in the building materials industry. The new LafargeHolcim shares will be traded on the SIX Swiss Exchange as well as the Euronext in Paris.

In April 2014 both companies had announced their intention to merge. All relevant anti-trust approvals were received within the expected timeframe following a proactive dialogue with the respective authorities in Canada and elsewhere.

The Holcim Ltd team was led by Xavier Dedullen, Lukas Studer and Juhani Kostka of Holcim Ltd. Holcim Ltd was represented by Freshfields Bruckhaus Deringer with a team including Frank Montag and Rafique Bachour (competition) and Alan Mason (corporate). Blake, Cassels & Graydon LLP advised Holcim Ltd on Canadian matters with a team that included Brian Facey, Julie Soloway, Joshua Krane, Cassandra Brown and Leah Noble (regulatory), David Kruse and Graham Smith (corporate), and Anne Glover (e-discovery).

Lafarge S.A. was represented by Allen & Overy LLP on corporate matters and by Cleary Gottlieb Steen & Hamilton LLP on regulatory matters with a team led by Mark Nelson. The Lafarge team in Canada was led by Ken Cathcart, now general counsel for LafargeHolcim Canada. McCarthy Tétrault LLP advised Lafarge S.A. on Canadian matters with a team that included Madeleine Renaud, Don Houston, Dominic Therien and Jonathan Bitran (regulatory).
